1. Agreement to Terms

2. Intellectual Property Rights

3. Software Downloads and Utilities

License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the software utilities provided on our Site ("Software") for personal or internal business purposes only.

Restrictions

  • Remove any copyright or other proprietary notices from the Software

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMUTILS LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Site or Software
  • Any conduct or content of any third party on the Site
  • Any content obtained from the Site
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED £100 GBP.

5. User Conduct

You agree not to use the Site to:

  • Violate any applicable local, national, or international law
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

7. Indemnification

You agree to defend, indemnify, and hold harmless SMUtils Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

8. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will immediately cease.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in England and Wales, and you hereby irrevocably consent to personal jurisdiction and venue therein.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SMUtils Limited regarding the use of the Site and supersede all prior and contemporaneous written or oral agreements.
